Jurisdiction Guide / Updated October 2026

Florida, Delaware, or Belize?

There's no "best" place to form a company — only the best fit for where you live, where you do business, and who will invest. This guide is general information, not legal or tax advice.

Florida

If your business operates in Florida — an office, employees, a store, or Florida customers you serve in person — forming here is usually simplest. Forming elsewhere would still require you to register in Florida as a foreign entity, so you'd pay and file twice.

Delaware

Delaware's corporate law and Court of Chancery are familiar to venture investors, which is why many startups raising institutional money incorporate there as corporations. For a small Florida-based business, the benefits rarely outweigh the cost of maintaining two registrations.

Belize

A Belize company can suit businesses whose activities and customers are outside the United States, especially across Central America and the Caribbean. Belize is English-speaking with a common-law legal system. Companies are formed under the Belize Companies Act, 2022, through a registered agent licensed by the Financial Services Commission.
