Terms of Service

These Terms govern services provided by Belize Corporate Services Inc., a Florida corporation located at 11835 SW 19th Ln, Unit 153, Miami, FL 33175, and use of belizecorpservices.us. Your signed engagement letter forms part of these Terms and controls if they conflict.

1. Our services

We provide company formation, registered agent and mail services, annual report and compliance filings, EIN applications, bank-account document preparation, and certified document and apostille services. For Belize and Delaware formations we act through licensed registered-agent partners in those jurisdictions.

2. What we are not

We are not a law firm, accounting firm, bank, or investment adviser, and we do not provide legal, tax, or financial advice. Template documents we prepare are completed from your instructions. You should consult independent licensed professionals about your specific situation. We cannot guarantee that any bank will open an account.

3. Fees and payment

• Each service is billed at the fixed fee stated in your engagement letter. Government and registry fees are listed separately and passed through at cost.
• Formation and document services are paid in full before filing. Registered agent and compliance plans are billed annually in advance.
• Government fee changes after your quote may be passed through with notice.

4. Client responsibilities

• Provide complete, accurate, and truthful information and documents, and tell us promptly about changes.
• Complete KYC verification before we file. We may decline or end an engagement if verification cannot be completed.
• Use your company only for lawful purposes and comply with tax and reporting obligations in every jurisdiction that applies to you.
• Keep your contact details current so we can forward legal notices.

5. Right to decline

We may decline or terminate any engagement where we suspect fraud, sanctions exposure, money laundering, tax evasion, or concealment of beneficial ownership, or where a client provides false information. Where termination is due to client misconduct, fees for work already performed are not refundable.

6. Registered agent terms

As registered agent we accept service of process and official correspondence and forward it to the contact you designate, normally the same business day. If your annual fee lapses, we may resign as agent after 30 days' notice, as permitted by Florida law. We are not responsible for consequences of notices you fail to read or act on.

7. Turnaround times

Timeframes we quote are estimates. Government agencies, registries, and the IRS control their own processing times, which we cannot guarantee.

8. Limitation of liability

To the maximum extent allowed by law, our total liability arising from any engagement is limited to the fees you paid us for that service, excluding government fees. We are not liable for indirect or consequential losses, including lost profits or bank decisions.

9. Confidentiality

We keep client information confidential except as required for filings, by our partners for due diligence, or by law. See our Privacy Policy.

10. Complaints and disputes

Send complaints to support@belizecorpservices.us. We acknowledge within 1 business day, respond in writing within 5 business days, and escalate unresolved matters to our founder for a final written decision within 10 business days. If a dispute remains, the parties agree to try mediation in Miami-Dade County before litigation. These Terms are governed by Florida law, with venue in Miami-Dade County, Florida.

11. Changes

We may update these Terms. Changes don't affect engagements already signed.
