Belize company formation

For businesses whose activity is outside the United States, a Belize company can be a practical, English-speaking, common-law option. We coordinate the entire process from Miami; the incorporation itself is carried out by our licensed Belize registered-agent partner.

How it works in Belize

Belize companies are incorporated under the Belize Companies Act, 2022, which replaced the former International Business Companies (IBC) regime. Every Belize company must use a registered agent licensed by Belize's Financial Services Commission.

Our Belize partner is that licensed agent. We act as your Miami point of contact: we collect and verify your documents, explain each requirement, coordinate the filing, and keep your renewal and filing dates on our compliance calendar.

Belize companies must keep registers of directors, members, and beneficial owners with the registered agent, and must meet annual filing and economic-substance requirements where they apply. We'll walk you through which apply to your company.

Due diligence package

Certified passport, proof of address, bank or professional reference, and a source-of-funds statement for each beneficial owner.

Constitutional documents

Certificate of incorporation, articles, and the first resolutions of the directors.

Registers

Register of directors, members, and beneficial owners kept with the registered agent, as required.

Annual renewal

Renewal reminders, registry fees, and annual filings coordinated each year.

When a Belize company fits

  • Trading, consulting, or e-commerce conducted outside the U.S.
  • Holding company for regional businesses in Central America and the Caribbean
  • Belizean families and businesses formalizing ownership

When it doesn't

If you live or do business in the U.S., a foreign company does not reduce your U.S. tax obligations and can add reporting requirements. U.S. persons owning foreign companies typically have IRS filing duties. Get advice from a qualified tax professional in your country of residence before forming. We will decline engagements where the purpose appears to be concealing ownership or avoiding taxes owed.

FAQ

How long does it take?

Once due diligence is approved by our Belize partner, incorporation usually takes 3–7 business days. Courier delivery of originals takes longer.

Do you offer nominee directors?

No. We do not provide nominee directors or shareholders. Owners and directors are disclosed to the registered agent as required by law.

Can you help open a bank account?

We prepare a complete document package and can introduce you to banks familiar with Belize companies. Account approval is always at the bank's sole discretion.
